Terms of Service
Last updated: May 2025
These Terms of Service ("Terms") govern your use of the YourStuff website located at yourstuff.com.au and the services provided by YourStuff ("we", "us", "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our website or services.
1. Services
YourStuff provides digital services to small and medium-sized businesses, including but not limited to website design and development, online marketing and SEO, graphic design and branding, IT support, eCommerce solutions, app development, AI automation, and digital strategy consulting.
The specific scope, deliverables, timeline, and pricing for any engagement will be detailed in a separate written proposal or service agreement provided to you prior to work commencing. In the event of any conflict between these Terms and a specific service agreement, the service agreement will take precedence.
2. Use of Our Website
You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:
- Use the site in any way that violates applicable local, national, or international laws or regulations
- Transmit any unsolicited or unauthorised advertising or promotional material
- Attempt to gain unauthorised access to any part of the website or its related systems
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the website
3. Quotes and Proposals
Any quote or proposal provided by YourStuff is valid for 30 days from the date of issue unless otherwise stated. A quote does not constitute a binding agreement until accepted in writing by both parties and any required deposit has been received.
We reserve the right to adjust pricing if the scope of work changes materially from what was originally quoted. Any scope changes will be communicated and agreed upon in writing before additional work proceeds.
4. Payment Terms
Payment terms are outlined in your individual service agreement. Unless otherwise agreed in writing:
- A deposit (typically 50%) is required before work commences
- The remaining balance is due upon project completion or as per the agreed milestone schedule
- Invoices are payable within 14 days of issue
- Late payments may incur interest at the prescribed rate under the Civil Proceedings Act 2011 (Qld) or other applicable legislation
We reserve the right to pause work on a project if invoices remain unpaid beyond the agreed payment terms.
5. Intellectual Property
Your materials
You retain ownership of all materials, content, logos, and intellectual property you provide to us. By providing these materials, you grant us a non-exclusive licence to use them solely for the purpose of delivering your project.
Our deliverables
Upon receipt of full payment, ownership of custom deliverables created specifically for your project (such as website designs, custom code, and graphic assets) transfers to you, except where third-party licences apply.
Third-party components
Some deliverables may incorporate third-party fonts, stock images, plugins, or frameworks. These components remain subject to their respective licences and do not transfer ownership to you. We will advise you of any ongoing licence requirements as part of your project handover.
YourStuff materials
All content on this website - including text, graphics, logos, and design - is the property of YourStuff and protected by Australian copyright law. You may not reproduce, distribute, or create derivative works without our prior written consent.
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement and not to disclose it to third parties without prior written consent, except as required by law.
7. Client Responsibilities
To allow us to deliver projects efficiently and on time, you agree to:
- Provide accurate, complete, and timely information and materials as requested
- Designate a point of contact with authority to provide approvals and feedback
- Provide feedback and approvals within agreed timeframes
- Notify us promptly of any changes to requirements or business circumstances that may affect the project
Project delays caused by late provision of materials or approvals from the client may result in revised timelines and, where applicable, revised pricing.
8. Warranties and Disclaimers
We will perform services with reasonable skill and care in accordance with industry standards. However, we do not warrant that:
- Our website will be uninterrupted, error-free, or free of viruses
- Specific outcomes (such as search engine rankings or conversion rates) will be achieved - these depend on many factors outside our control
- Third-party platforms, plugins, or APIs we work with will remain available or unchanged
Our website and its content are provided on an "as is" basis to the extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law, YourStuff's total liability to you for any claim arising from these Terms or any services provided shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.
We will not be liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable Australian consumer protection legislation that cannot be excluded by contract.
10. Termination
Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. In the absence of a specific agreement:
- You may terminate at any time, but you will be invoiced for all work completed to date plus any non-recoverable costs incurred
- We may terminate if you breach these Terms or fail to make payment, and we have given you reasonable notice to remedy the breach
On termination, we will provide you with all completed deliverables for which payment has been received.
11. Governing Law
These Terms are governed by the laws of Queensland, Australia. You agree to submit to the exclusive jurisdiction of the courts of Queensland for any dispute arising from or related to these Terms or our services.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after any changes constitutes your acceptance of the updated Terms. The current version is always available at this URL with the "last updated" date shown at the top.
